Zenas Group expert network

Expert Independent Contractor Agreement

Effective September 7, 2026

Business draft: This document establishes the intended platform terms but should be reviewed by a qualified U.S. attorney before Zenas Group begins live commercial operations.

This agreement applies to each professional who applies to or participates in the Zenas Group expert network (the “Expert”). By accepting it, the Expert agrees to the following terms.

1. Independent professional relationship

The Expert provides services as an independent contractor and not as an employee, partner, agent, or legal representative of Zenas Group. Nothing in this agreement creates eligibility for wages, employee benefits, paid leave, unemployment benefits, or workers’ compensation through Zenas Group.

2. Control of services

The Expert controls whether to accept an opportunity and determines the professional method, preparation, tools, and location used to provide an accepted service. All sessions arranged through Zenas Group are conducted online unless Zenas Group expressly approves another arrangement in writing.

3. Qualifications and professional conduct

The Expert must provide accurate qualifications, remain within their competence, communicate respectfully, protect confidential information, and maintain any license, certification, insurance, or authorization required for their services. Experts must not present educational or informational guidance as licensed legal, medical, tax, or financial advice unless properly authorized to provide it.

4. Opportunities and availability

Zenas Group does not guarantee any minimum number of requests, sessions, hours, clients, or earnings. The Expert may accept or decline opportunities and must keep availability and profile information reasonably current.

5. Payments and platform fees

Client payments are processed through Stripe. Zenas Group deducts the disclosed platform fee before the Expert’s share is paid. Eligible balances are scheduled for weekly Friday payout, subject to the published cutoff, Stripe processing, reserves, refunds, disputes, banking delays, and applicable law.

6. Expenses and taxes

The Expert is responsible for their own equipment, internet access, workspace, business expenses, insurance, registrations, and federal, state, local, or foreign taxes. Zenas Group does not withhold payroll or income taxes from contractor payments. The Expert must provide accurate tax information and complete required Stripe verification.

7. Cancellations, refunds, and disputes

The Expert will cooperate with reasonable efforts to address cancellations, service concerns, refunds, payment disputes, fraud, or chargebacks. Amounts may be withheld from future balances or recovered when a refund, dispute, error, or other valid adjustment relates to the Expert’s services.

8. Client information and confidentiality

The Expert may use client information only to provide the accepted service and related communication. The Expert must not sell, disclose, or use private client information for unrelated marketing and must take reasonable steps to protect personal and business information.

9. Ending participation

Either party may end the relationship, subject to completing accepted commitments and resolving outstanding payments, refunds, or disputes. Zenas Group may suspend or remove an Expert for safety concerns, inaccurate information, misconduct, repeated service problems, legal risk, or violation of platform requirements.

10. Entire agreement and updates

This agreement, together with applicable platform policies and confirmed service terms, describes the parties’ relationship. Material updates will be communicated to participating Experts and may require renewed acceptance.
